Financial Times Board Director Programme

Mike Clancy and portfolio NED Jeremy Williams were delighted to facilitate their popular, practical, interactive, workshop for aspiring NEDs, "How to get your first NED Role". The workshop took place at the FT's headquarters in London. It was the third of four scheduled for 2024 and once again was fully booked. The next date for 2024 is 27th November but the workshop is already fully booked. 2025 will see five workshops in the FT BDP schedule to accommodate the increasing demand.

Impact Boards Emerging Markets (IBEM)

The Fall (Autumn) Webinar series, "Getting your First Role" organised in conjunction with IBEM for their existing members and recent joiners started today. The first of a three webinar series discussed the topic of motives for starting a NED career and then explored options to help prepare. The second webinar is in early October with the final session in early November.

The interactive webinar, "Meet the Headhunters", with its "elevator pitch and discussion" format assisted aspiring NED's with their recruiter engagement, i.e. presenting their capability, motives and ambitions concisely and effectively to generate interest in them as candidates for NED roles.

This workshop was the third of four scheduled for this year. The final workshop for 2023 takes pace on 29th November. Dates for 2024 to be released shortly.

During 2023 the workshop will take place four times - up from twice a year in 2022. The workshop has also been expanded from a half day to a full day format with new content included.

Institute of Directors Webinar - “Advice on sourcing your first NED role”

Mike Clancy presented a webinar hosted by the Institute of Directors (IoD). The webinar was for IoD members who have completed the Chartered Director qualification and are starting the non-executive phase of their career. John O'Brien, Chartered Director Ambassador for the IoD's Surrey branch chaired the online event and facilitated the Q&A. The topics discussed included; when to start a non-executive career? portfolio approach or single NED role alongside an executive role? pre-search preparation including career review, positioning, messaging and CV, networking to source opportunities, what to expect in an appointment process plus expected probabilities and time frames for success.

Women on Boards Webinar - “NED Succession Planning”

Tanya Gass, NED Lead, Women on Boards and Mike Clancy facilitated a webinar to discuss the topic of succession planning in relation to Chair and other non-executive board positions. The Q&A format with attendees covered; planned vs unplanned succession, mitigating "vacancy risk", addressing subjective and objective influences on succession, when to discuss and when to action succession, differences between executive and non-executive succession, NED to SID to Chair internal succession vs external appointments.

Convoy Webinar - “Advice on sourcing your first NED role”

Convoy Community is a not for profit, career transition, support provider founded by Chris Ross in June 2020. The purpose of Convoy is to turn "job seekers" into "job finders" by removing the isolation of the post redundancy / career break job search. Mike Clancy was the guest speaker on a Webinar for Convoy members interested in learning about starting the plural phase of their career and particular non-executive director roles.

Non-executive Director Remuneration

As career transition advisers for aspiring non-executive directors we are frequently asked about remuneration for such roles. The topic is a broad church. A key point is you should not be undertaking a role for the money. It is a valid argument that if you are hostage to the fees you earn your independence is comprised. However it is wise to be informed on current levels of remuneration. Today KPMG published a survey of directors' remuneration in AIM listed companies. Pages 17 and 18 cover non-executive director fees. The analysis against company turnover may help to provide some "rules of thumb".

The Wates Corporate Governance Principles for Large Private Companies

Following the responses to a 2016 Green Paper on Corporate Governance Reform the UK Government concluded that a case had been made for more transparency and accountability for corporate governance in large privately held businesses. The Government invited the Financial Reporting Council (FRC) to work with a variety of partners to develop a set of corporate governance principles for such companies. A Coalition Group (the Group) representing numerous interested parties was formed in January 2018. The Group was chaired by James Wates of the Wates Group a company captured by the definitions of large private company. Today the Group published, "The Wates Corporate Governance Principles for Large Private Companies".

New Corporate Governance Code Released

Today the Financial Reporting Council (FRC) released the 2018 UK Corporate Governance Code (the Code). This updates and replaces the previous code released in April 2016. The Code applies to accounting periods beginning on or after 1st January 2019. The main changes apply to the sections regarding; Workforce & Stakeholders, Succession & Diversity, Culture and Remuneration.

Revised Guidance on Board Effectiveness

The Financial Reporting Council (FRC) also published a revised Guidance on Board Effectiveness which supplements the Code by suggesting good practice to assist companies in applying the 2018 Code's Principles and reporting on the application.

The Personal Implications of becoming a Non-executive Director

Mike Clancy of Walgrove and Ian McNally of wealth manager Saunderson House today presented the findings of a survey conducted by the Financial Times Non-executive Director Club and Saunderson House on the implications of becoming a non-executive director. Mike presented the findings on the non-financial implications and Ian the financial ones before jointly fielding questions from the audience. The event took place as part of the NED Conversations events series run by the Financial Times for members of their NED Club.

London Business School Non-executive Director Panel

As part of their Alumni Career Programme London Business School today hosted a Non-executive Director Panel for Alumni interested in finding out more about becoming a non-executive Director. Our clients Jean-Paul Rigaudeau and Clarissa Farr briefly presented about their non-executive careers to date and then fielded questions from the audience. Questions on the evening included, “Are you seeing increased diversity on Boards?”, “How did you get your first non-executive role?” and “What are the main challenges of being a non-executive director?”
